Appointment strengthens Moelis & Company’s global insurance coverage

Moelis & Company, the global independent investment bank, today announced the appointment of Christopher Young as a Managing Director responsible for providing strategic advice to insurance clients globally. His appointment strengthens the Firm’s global insurance sector team which already includes John Sipp and Abzal Ayubeally in New York and Caroline Silver in London.

With more than 25 years of investment banking experience, Mr. Young joins Moelis & Company from UBS Securities LLC where he was a Managing Director and senior relationship manager in insurance investment banking responsible for origination and execution of mergers and acquisitions and equity and debt financial solutions products. Before joining UBS, Mr. Young worked at Deutsche Bank Securities Inc. in New York and previously at JP Morgan Securities Inc. in New York and London. In recent years he has worked on some of the largest public insurance sector transactions. In his new role, Mr. Young is based at Moelis & Company’s headquarters in New York.

Mr. Lastrapes joins Moelis & Company after a distinguished 30 year career at Shell having recently headed Business Development where he was responsible for the growth of the onshore North America portfolio including all exploration, acquisitions and joint ventures. Previously, he was Business Development Manager for US Gas New Ventures, and before that he led various International Business Development and Asset Management activities across Central Asia, Brazil and West Africa.

Moelis & Company (NYSE: MC), a leading global independent investment bank, today announced the appointment of Brian Jinks as a Managing Director providing financial and strategic advice to midstream oil and gas companies and Master Limited Partnerships (MLPs). He will join the Firm in July and will be based in Houston.

With over 16 years of investment banking experience advising companies in the midstream and MLP sector, Mr. Jinks will join Moelis & Company from Deutsche Bank where he most recently served as a Managing Director responsible for midstream and MLP coverage. His experience includes origination and execution of a full spectrum of transactions for companies in the sector, including strategic advisory, M&A, and capital raises. Prior to Deutsche Bank, he spent seven years at Lazard and Credit Suisse as a member of their respective Energy Investment Banking teams.

Moelis & Company Files Shelf Registration Statement

Moelis & Company (the “Company”) (NYSE: MC), today announced that it has filed a shelf Registration Statement on Form S-3 with the Securities and Exchange Commission. The Registration Statement registers approximately 3.4 million shares of Class A common stock that may be issued over time in connection with the exchange of pre-IPO equity held by certain of the Company’s outside investors and employees.  Approximately 40% of these shares will not be eligible for exchange until after the first quarter of 2016.

As previously disclosed in connection with the Company’s IPO, the Registration Statement registers the Class A common stock that may be issued upon exchange of an equal number of Class A partnership units of Moelis & Company Group LP, as well as the possible sale by certain stockholders of Class A common stock.  The Registration Statement does not involve capital raising efforts by the Company or pre-IPO equity subject to the Managing Director four to six year lock-up.  The issuance of the Class A common stock will not increase the Company’s fully exchangeable share count.

John A. Allison Appointed as an Independent Member of the Moelis & Company Board of Directors

Moelis & Company (NYSE: MC), a leading global independent investment bank, today announced the appointment of John A. Allison, as an independent member of the Board of Directors.

Mr. Allison currently serves as Chairman of the Executive Advisory Council of the Cato Institute’s Center for Monetary and Financial Alternatives, and as a member of the Cato Institute’s Board of Directors. He was President and CEO of the Cato Institute from October 2012 to April 2015. Prior to joining Cato, Mr. Allison was Chairman and CEO of BB&T Corporation, one of the largest financial services holding companies by assets, headquartered in the United States. During Mr. Allison’s tenure as CEO from 1989 to 2008, BB&T grew from $4.5 billion to $152 billion in assets.

“John has an impressive track record as a leader in the financial services industry,” said Ken Moelis, Chairman and CEO of Moelis & Company. “We are delighted to have him on our Board of Directors. In addition to his time at BB&T and the Cato Institute, Mr. Allison also served as a Distinguished Professor of Practice on the faculty of the Wake Forest University School of Business from 2009 to 2012. He has received the Corning Award for Distinguished Leadership, been inducted into the North Carolina Business Hall of Fame, received the Lifetime Achievement Award from the American Banker, and was recognized by the Harvard Business Review as one of the top 100 most successful CEOs in the world over the last decade.

Mr. Allison is a Phi Beta Kappa graduate of the University of North Carolina–Chapel Hill. He received his master’s degree in management from Duke University, and is also a graduate of the Stonier Graduate School of Banking.

Moelis & Company (NYSE: MC), a leading global independent investment bank, today announced that Stephen F. Bollenbach has resigned from the Board of Directors, effective immediately. Mr. Bollenbach’s decision to resign from the Board was not due to any disagreement with the Firm’s management or the Board. The Firm intends to seek to appoint a new director to the Board by the end of the third quarter this year.

During Mr. Bollenbach’s tenure, he served as Chairman of the Audit Committee and Chairman of the Compensation Committee.

Moelis & Company (NYSE: MC), a leading global independent investment bank, today announced the appointment of Kenneth L. Shropshire, Wharton professor and corporate lawyer, as an independent member of the Board of Directors.

Mr. Shropshire is the David W. Hauck Professor at the Wharton School of the University of Pennsylvania, teaching legal and business aspects of sports; business law and ethics; negotiation and dispute resolution; and diversity and the law. He is the director and founder of the Wharton Sports Business Initiative, a think-tank that generates and disseminates knowledge about the sports industry through educational programs, strategic corporate partnerships, high-level student consulting assignments, global forums and research. Mr. Shropshire also serves as Special Counsel to the global law firm Duane Morris LLP where he practices corporate law with a concentration in sports and business law.

Mr. Shropshire is a founder and member of the Board of Directors of the Valley Green Bank in Philadelphia and also serves as a trustee of the Women’s Sports Foundation and the Board of Directors of Peace Players International.  He is a former president of the Sports Lawyers Association, the largest such organization in the world, and Program Chair of the ABA Forum Committee, Sports Law Section.  Mr. Shropshire is the author of numerous books and articles on the business of sports.

Mr. Shropshire is a 1980 graduate of Columbia Law School and a 1977 graduate of Stanford University.

Moelis & Company today announced that David Cheyne has joined the firm as a Vice Chairman of EMEA Investment Banking, based in London, to enhance senior client relationships, facilitate new business introductions, and provide technical leadership and counsel on deal execution.

Mr. Cheyne, who joins from Linklaters where he served as the firm’s Senior Partner, was previously Global Head of the firm’s Corporate Department from 2000 to 2005 and was then elected Senior Partner in 2006, for a five year term.

New York and Sydney, August 18, 2009

Moelis & Company, the New York-based investment bank, today announced the establishment of a new office in Sydney, Australia, with the hire of a five-person team to cover the Australian and Asian markets.  Chris Wyke will join the firm as a Managing Director and Julian Biggins has joined the firm as a Senior Vice President, along with three other investment banking professionals.  The Sydney office will be Moelis & Company’s sixth office globally and follows the establishment of a London office in 2008.

“The addition of the team in Sydney underscores our continued commitment to service our clients globally and have a presence in the markets in which they operate,” said Ken Moelis, Chief Executive Officer of Moelis & Company.  “We continue to add top talent to our firm and experienced professionals like Chris and Julian will greatly complement our global team in providing the best expertise and solutions to our clients.  The launch of our Australian office is an important first step towards growing our coverage of the key Asia-Pacific region.”

Mr. Wyke will join the firm in September from J.P. Morgan.  He has over a decade of experience in investment banking and was most recently a member of J.P. Morgan’s investment banking team in Sydney, where he originated and executed a wide range of domestic and international transactions. In his role he provided capital structure, restructuring and strategic and transaction advisory services to real estate trusts, fund managers and diversified property group clients in the Asia-Pacific region. Prior to J.P. Morgan, he was with UBS in London, Singapore and Sydney covering real estate clients across Europe, Asia and Australia respectively.

Mr. Biggins has nearly a decade of investment banking experience and was most recently a member of J.P. Morgan’s investment banking team, where he focused on providing capital structure and transaction advisory services to real estate companies and fund management clients in the Asia-Pacific region. He also led advisory roles to Australian companies acquiring real estate businesses in the U.S., U.K., Continental Europe, Japan and China. Previously he was with UBS’ real estate research team where he provided strategic, quantitative and qualitative studies to Australian and international institutional clients.

Moelis & Company announced today that Kevin Scheetz has joined the firm as a Managing Director in Technology. Mr. Scheetz, who has 12 years of investment banking experience, will expand the firm’s coverage of the technology sector in the San Francisco Bay Area, with a particular focus on hardware, semiconductors and components clients.

Mr. Scheetz was most recently Head of the Semiconductors and Electronics Investment Banking franchise at Merrill Lynch. Moelis & Company announced today that Steve Panagos will join the firm in April as a Managing Director and Vice Chairman of its Recapitalization & Restructuring Group.  Mr. Panagos is a widely recognized turnaround expert who will provide restructuring advisory services and solutions to the firm’s clients.

Mr. Panagos has a long and distinguished career of leading complex bankruptcies and reorganizations across a broad spectrum of industries.  Mr. Panagos was the National Practice Leader of Kroll Zolfo Cooper’s Corporate Advisory & Restructuring Practice.  During his 20 year tenure at Kroll Zolfo Cooper, Mr. Panagos provided restructuring advice to numerous companies and also served as Chief Operating Officer and President of Krispy Kreme, Interim Chief Executive Officer and Chief Restructuring Officer of Penn Traffic Supermarkets as well as several interim management positions at many other companies.  Before joining Moelis & Company, Mr. Panagos was a Founder of Panagos Katz Situational Investing.

Moelis & Company announced today that Roger Hoit has joined the firm as a Managing Director based in New York. Mr. Hoit, who has over 20 years of investment banking experience, will focus on providing advisory services to financial sponsors, enhancing the firm’s coverage of this critical client base.

Mr. Hoit was previously a Managing Director in the Global Financial Sponsors Group at Morgan Stanley where he built a leading franchise advising financial sponsors and their portfolio companies on strategic transactions and investment opportunities. Moelis & Company announced today that Dominick Petrosino has joined the firm as a Managing Director based in New York. Mr. Petrosino, who has over 15 years of capital markets and investment banking experience, will focus on providing capital raising advice and solutions to the firm’s clients.

Mr. Petrosino was previously at Bear Stearns where he was the Head of Leveraged Finance Capital Markets. While at Bear Stearns, he managed a leading business focused on providing capital structure solutions, including underwriting, structuring and executing leveraged loans, high yield notes and mezzanine financings. In this role, Mr. Petrosino advised clients across a broad range of industries on leveraged buyouts, acquisition financings, recapitalizations and other capital structure matters. Prior to joining Bear Stearns in 2000, Mr. Petrosino was a Vice President of High Yield Corporate Finance at Chase Securities and previously a Vice President in Chase’s Global Mining & Metals Group.

Moelis & Company announced today that Andrew Shore has joined the firm as a Managing Director based in New York.  Mr. Shore, who has over 20 years of investment banking and research experience, will lead the firm’s coverage of household and personal care companies and further expand its effort in the consumer and retail sector.

Mr. Shore joins from J.P. Morgan where he was most recently a Managing Director in the Global Consumer Products Group and built a leading franchise advising clients in the global household and personal care industries on mergers and acquisitions, debt and equity financings and a broad range of financial advisory services. Prior to joining J.P. Morgan, Mr. Shore was a Managing Director in Deutsche Bank’s Consumer Products and Retail Group and previously an Institutional Investor-ranked Research Analyst and the Head of Deutsche Bank’s Global Consumer Products Strategy, which included analysis and portfolio construction of food, beverage, tobacco and household products stocks.  Before Deutsche Bank, Mr. Shore was a Managing Director at both Paine Webber and Prudential Securities and began his career at Shearson Lehman Brothers.
